Terms of Use

Last updated: September 1, 2026

These Terms of Use (“Terms”) form an agreement between you and IntelCost LLC, a Texas limited liability company (“IntelCost,” “we,” “us,” or “our”). They govern your use of intelcost.io and any related sites we operate, together with the IntelCost construction takeoff and estimating software and everything we provide alongside it — features, tools, documentation, previews, and support (collectively, the “Service”).

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service for a company or other organization, you confirm you are authorized to bind that organization, and “you” means both you personally and that organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to open an account or purchase a subscription. The Service is built for construction and business use and is not directed to children. We do not knowingly collect information from anyone under 13; see our Privacy Policy.

We may decline to provide the Service to anyone, and may refuse or reclaim an account name that impersonates someone, infringes another party’s rights, or is likely to cause confusion.

2. Your Account

Give us accurate registration information and keep it current. You are responsible for keeping your password confidential and for everything done through your account.

Credentials are personal. A login is for one individual. Do not share it. Your subscription permits concurrent use only up to the number of seats you have paid for. You may reassign a seat from one person to another, but you may not use one seat to give several people simultaneous access.

Tell us promptly at support@intelcost.io if you think someone has accessed your account without permission.

3. Your Right to Use the Service

Subject to these Terms and payment of any fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business purposes during your subscription.

You agree not to:

  • use the Service unlawfully or in breach of any applicable regulation;
  • copy, modify, distribute, sell, rent, or sublicense any part of the Service, or reverse engineer, decompile, or disassemble it, except where law expressly permits despite this restriction;
  • disrupt the Service, its users, or the infrastructure behind it, including by introducing malicious code;
  • use bots, scrapers, or other automated means to access the Service, or work around any security or access control;
  • probe, scan, or test the vulnerability of the Service without our prior written permission;
  • frame or mirror any part of the Service without our permission;
  • collect information about other users without their consent;
  • remove or obscure any proprietary notice;
  • use the Service’s sharing, invitation, or community features to send unsolicited messages;
  • use the Service to harass, threaten, or defame anyone; or
  • use the Service to build, improve, or inform a competing product, to replicate its features or interface, or for benchmarking you intend to publish.

If you build or sell competing takeoff or estimating software, or act on behalf of someone who does, you need our written consent before using the Service.

Fair use. The Service is meant for normal professional use. We may set and adjust reasonable limits on storage, file sizes, processing, and request rates, and may throttle or suspend usage we reasonably believe is abusive, excessive, or a risk to the Service or other customers.

4. Your Content

What it means. “Your Content” is everything you upload to or create in the Service: drawings and PDFs, specifications, sheets, measurements, takeoff items, counts, surfaces and volumes, assemblies, rates, estimates, exports, comments, and project information.

It stays yours. We claim no ownership of Your Content. You grant us a limited licence to host, store, process, transmit, back up, and display it, only as needed to run, support, and secure the Service for you.

You are responsible for it. You confirm you hold the rights needed to upload and use Your Content in the Service, and that it does not infringe anyone’s intellectual property, privacy, or other rights. Construction drawings are frequently owned by an architect, engineer, or owner rather than the contractor bidding the work — make sure you are permitted to upload what you upload.

Do not upload content that is unlawful, infringing, or contains malicious code. We are not obliged to monitor Your Content, but we may review and remove anything that breaks these Terms or harms the Service.

Sharing. Content you put in a shared workspace is visible to the other members of that workspace. If you create a public share link for a project, anyone with that link can view what it exposes, without signing in. You are responsible for who you invite and what you choose to share.

Keep your own copies. We back up Service data, but no backup protects against every possible loss. Keep your original drawing files, and use the export and print features to keep your own records. You accept the risk of treating the Service as the only place your work exists.

Aggregated data. We may use de-identified, aggregated information about how the Service performs to operate and improve it. This never includes Your Content in identifiable form.

Feedback. If you send us suggestions, we may use them freely and without obligation to you.

5. Accuracy — Read This One

The Service produces proposals. You are the estimator.

Measurements, counts, areas, lengths, volumes, and costs generated in the Service depend entirely on the drawings you upload, the scale you set, the settings you choose, and the assumptions you apply. Any scale, elevation, surface, or symbol the Service detects automatically is an inference from a drawing, not a verified fact.

This applies with particular force to automated features:

  • Auto Count proposes candidate matches for a symbol you select. Candidates are presented for your review precisely because the Service does not guarantee it has found every instance, or only correct instances. Missed and spurious matches are possible on any drawing.
  • Auto Trace and earthwork volumes depend on contour linework, spot elevations, and boundaries being drawn correctly on the sheet and interpreted correctly by the Service.
  • AI-assisted extraction of schedules, title blocks, and drawing regions can misread a drawing.

You must verify scale, quantities, counts, and totals before relying on them. Do not submit a bid, sign a contract, order material, or make any commercial decision on the basis of Service output you have not checked. You are solely responsible for the accuracy of any estimate, bid, or submission you produce, and for any consequence of relying on unverified output.

6. AI-Assisted Features

Some features send parts of Your Content — for example, a region of a drawing you select — to third-party artificial intelligence providers for processing. We describe what is sent and to whom in our Privacy Policy. We contract for your content not to be used to train those providers’ models.

AI output is generated, not authoritative. Review it before use. AI features may change, be metered, be limited, or be withdrawn.

7. Our Intellectual Property

The Service — its software, algorithms, interface, design, text, graphics, logos, and marks — belongs to IntelCost and its licensors and is protected by United States and international law. Except for the limited right in Section 3, you receive no rights in it. Do not use our name or marks without written permission.

8. Subscriptions, Fees, and Payment

Fees. You agree to pay the fees for your plan and seats at the prices in effect when charged, plus any applicable tax. Payments are handled by a third-party payment processor; we do not store your full card details.

Renewal. Subscriptions renew automatically each billing period until you cancel, and you authorize charges to your payment method for each renewal. Cancel at any time in your account or by emailing support@intelcost.io; cancellation takes effect at the end of the period you have already paid for.

Free trials. We may offer a free trial. A trial does not become a paid subscription automatically — a paid plan starts only when you buy one. We may change, limit, or end any trial at our discretion.

Refunds. Except where the law requires otherwise, fees are non-refundable, and we do not credit partial periods. Any refund we choose to give is discretionary and does not change this policy.

Price changes. We may change prices. Changes take effect at your next renewal, and we will make reasonable efforts to tell you in advance.

Late payment. We may suspend or close access if your account is overdue.

9. Availability and Changes

We improve the Service continuously and may add, change, or remove features. We may carry out maintenance that interrupts the Service, and will make reasonable efforts to give notice of planned downtime we expect to be significant. Maintenance is not a breach of these Terms.

We do not promise the Service will be uninterrupted, error-free, or available at any particular moment.

10. Copyright Complaints (DMCA)

If you believe material on the Service infringes your copyright, write to support@intelcost.io with: your signature (physical or electronic); identification of the work you say is infringed; identification of the material you say is infringing and enough detail to find it; your name, address, phone number, and email; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act for the copyright owner.

Counter-notices may be submitted as the DMCA provides. There are penalties for false claims; consider consulting a lawyer before filing either. We close the accounts of repeat infringers.

11. Suspension and Termination

You may cancel at any time under Section 8. Cancelling does not entitle you to a refund.

We may suspend or terminate your access, with notice, if you breach these Terms or your account is overdue, and may terminate for other reasons on reasonable notice. If we terminate without cause, we will refund prepaid fees covering the period after termination. No refund is due where we act because of your breach or non-payment, or where you cancelled.

When your account ends, your right to use the Service ends. Export Your Content before that happens. We may delete Your Content beginning 30 days after termination unless the law requires us to keep it. Sections 4, 5, 7, and 12 through 17 survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, INTELCOST AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR TRADE USAGE. NO STATEMENT FROM US, ORAL OR WRITTEN, CREATES ANY WARRANTY NOT SET OUT HERE.

WITHOUT LIMITING THE ABOVE: WE DO NOT WARRANT THAT ANY MEASUREMENT, COUNT, QUANTITY, VOLUME, SCALE, OR COST PRODUCED THROUGH THE SERVICE IS ACCURATE, COMPLETE, OR FIT FOR ANY BID, CONTRACT, OR PROCUREMENT DECISION. SECTION 5 GOVERNS YOUR RESPONSIBILITY TO VERIFY.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER INTELCOST NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST BIDS, COST OVERRUNS, OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE SERVICE, ON ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED SUCH DAMAGES ARE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

14. Indemnification

You will indemnify, defend, and hold harmless IntelCost and its members, managers, officers, employees, contractors, and agents against any claim, damage, loss, cost, or expense (including reasonable legal fees) arising from: (a) Your Content, including any claim that it infringes a third party’s rights; (b) your breach of these Terms; (c) your violation of any law; (d) your use of the Service; or (e) any estimate, bid, or submission you produce using the Service.

15. Class Action Waiver

You and IntelCost each agree that any claim relating to the Service or these Terms may be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. If a court finds this unenforceable for a particular claim, it is severed for that claim only and the rest of these Terms stand.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute relating to the Service or these Terms will be brought exclusively in the state or federal courts sitting in Travis County, Texas. You consent to those courts’ jurisdiction and waive any objection to venue or forum.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND INTELCOST EACH WAIVE THE RIGHT TO TRIAL BY JURY IN ANY DISPUTE RELATING TO THE SERVICE OR THESE TERMS.

17. Export and Sanctions Compliance

You may not use the Service in breach of United States export control or sanctions law. You confirm you are not located in an embargoed country or region and are not on any United States restricted-party list.

18. Changes to These Terms

We may update these Terms. Updates are posted here with a revised “Last updated” date, and we will make reasonable efforts to notify you of material changes. Continuing to use the Service after changes take effect means you accept them.

19. Notice for California Users

Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

20. General

In these Terms, “including” means “including without limitation.” Neither party is liable for delay caused by events beyond its reasonable control. If any provision is unenforceable it is severed and the rest remains in force. Failing to enforce a provision is not a waiver of it.

You agree that misuse of the Service or breach of Sections 3, 4, or 7 may cause us harm that money cannot adequately repair, and that we may seek injunctive relief without posting a bond, in addition to our other remedies.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms, with our Privacy Policy and any subscription or order documents, are the whole agreement between us about the Service. If we have signed a separate written agreement with you covering the Service, that agreement prevails where it conflicts with these Terms.

We may send notices to the email address on your account or through the Service, effective when sent. Notices to us go to support@intelcost.io and are effective on receipt. You consent to receive communications electronically, and electronic communications satisfy any legal requirement for writing.
